1. Introduction

Welcome to Flashost. These Terms of Use ("Terms") govern your access to and use of the Flashost platform, including all services, applications, and content provided by Flashost Holding Ltd ("Flashost," "we," "us," or "our"). By accessing or using our platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Definitions

• Platform: The online marketplace operated by Flashost, accessible via flashost.com, facilitating interactions among Vendors, Customers, and Shopping Buddies.
• Vendor: An individual or entity that creates an eStore on the Platform to offer products or services to Customers.
• Customer: An individual who uses the Platform to browse, interact with Vendors and Shopping Buddies, and purchase products or services.
• Shopping Buddy: An individual who provides personalized shopping assistance to Customers and may earn commissions based on sales influenced through their guidance.

3. User Accounts

• Eligibili: You must be at least 18 years old to create an account on the Platform. By registering, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.
• Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breaches.
• Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

4. Platform Services

• Vendors: Vendors can create and manage eStores to showcase and sell their products or services. Vendors are responsible for the accuracy of their listings, compliance with applicable laws, and fulfillment of orders.
• Customers: Customers can browse eStores, interact with Vendors and Shopping Buddies, and make purchases. Customers are responsible for providing accurate information and complying with these Terms.
• Shopping Buddies: Shopping Buddies offer personalized shopping assistance to Customers and may earn commissions from sales they influence. They must provide honest and accurate advice and adhere to Platform guidelines.

5. User Conduct

You agree not to:
• Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law.
• Post or transmit any content that is infringing, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in any activity that interferes with or disrupts the Platform or the servers and networks connected to the Platform.

6. Content Ownership and Licenses

• Your Content: You retain ownership of any content you submit, post, or display on the Platform. By providing content, you grant Flashost a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content in connection with providing the Platform services.
• Platform Content: All other content on the Platform, including text, graphics, logos, and software, is the property of Flashost or its licensors and is protected by copyright and other intellectual property laws.

7. Transactions and Payments

• Payment Processing: Payments are processed through third-party payment processors. Flashost is not responsible for any issues arising from payment processing but will assist in resolving disputes where possible.
• Fees and Commissions: Flashost may charge fees to Vendors and Shopping Buddies for the use of certain Platform services. These fees are outlined in our Fee Schedule, which is incorporated into these Terms by reference.
• Refunds and Cancellations: Refund and cancellation policies are determined by individual Vendors. Customers should review these policies before making a purchase. Flashost may mediate disputes but is not responsible for issuing refunds.

8. Dispute Resolution

• Between Users: Users are encouraged to resolve disputes directly. Flashost may offer mediation but is not obligated to resolve disputes between Users.
• With Flashost: Any disputes with Flashost arising out of these Terms or the use of the Platform shall be governed by the laws of the Republic of Ireland and resolved through binding arbitration in Dublin, Ireland.

9. Termination and Suspension

Flashost reserves the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

10. Disclaimers and Limitations of Liability

• As-Is Basis: The Platform is provided on an "as-is" and "as-available" basis. Flashost makes no warranties, express or implied, regarding the Platform's operation or availability.
• Limitation of Liability: To the fullest extent permitted by law, Flashost shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

11. Indemnification

You agree to indemnify and hold harmless Flashost, its affiliates, officers, agents, and employees from any claim or demand made by any third party due to or arising out of your breach of these Terms, your improper use of the Platform, or your violation of any law or the rights of a third party.

12. Modifications to the Terms

Flashost reserves the right to modify these Terms at any time. We will provide notice of significant changes and indicate the date of the latest revision. Your continued use of the Platform after such modifications constitutes your acceptance of the new Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ireland, without regard to its conflict of law principles.
